Welcome to EdgeTunePower Inc. (ETP). By accessing our website, using our software, or engaging with our services and solutions, you agree to be bound by the terms set forth below. These Terms and Conditions apply to all business engagements, including product sales, service agreements, and software licenses, both domestically and internationally.

1. General Applicability

All transactions with ETP are governed by these Standard Terms and Conditions, which supersede any conflicting terms in customer purchase orders, specifications, or other documents—unless explicitly agreed upon in writing by ETP. Our quotations, proposals, and order acknowledgments constitute the foundation of the contractual relationship.

2. Pricing & Payment Terms
​
Prices are defined in ETP’s official quotations or reflect current standard rates at the time of order acceptance. Unless otherwise agreed, payments are due within 30 days of the invoice date, payable in Canadian Dollars.

Interest may be charged on overdue amounts in accordance with applicable laws.

Non-payment may result in service suspension or contract termination.

All applicable taxes, levies, customs duties, and government charges are the responsibility of the buyer.
3. Delivery & Risk of Loss

All delivery schedules provided by ETP are estimates only and are not guaranteed. Unless otherwise stated, risk of loss or damage to any equipment or deliverables remains with the buyer upon dispatch and throughout the service period.

4. Cancellations & Terminations
​
Buyers may cancel confirmed services with reasonable written notice; however, cancellation fees may apply depending on the work completed. ETP may suspend or terminate service engagements for:

Non-payment,
-
Material breach of agreement,
-
Force majeure or unforeseen circumstances beyond reasonable control.
5. Warranty of Services
​
ETP warrants that all services will be delivered in a professional, diligent, and workmanlike manner. If notified within 90 days of completion, and a nonconformity is verified, ETP will either:

Re-perform the services, or
-
Offer an appropriate refund.
This warranty excludes:

Services modified by unauthorized third parties,
-
Failures due to misuse or improper installation,
-
Third-party hardware or software components not supplied by ETP.
All other express or implied warranties, including merchantability or fitness for a particular purpose, are expressly disclaimed.

6. Limitation of Liability
​
To the maximum extent permitted by law, ETP’s liability is limited to the amount paid by the customer for the specific product or service in question.
ETP shall not be liable for any:

Indirect, incidental, or consequential damages,

Loss of profit, data, revenue, or business opportunity,
-
Claims arising from misuse or unauthorized modification of deliverables.
7. Software License
​
Use of ETP software is governed by a separate Software License Agreement, which grants the client a non-exclusive, non-transferable right to use the software solely for internal operations.

The software must not be reverse-engineered, decompiled, copied, or sublicensed.

Some products may contain third-party code subject to additional license terms.

ETP may include monitoring tools within the software to ensure license compliance.
8. Intellectual Property

All intellectual property—including software, documentation, technical drawings, configurations, and designs—remains the exclusive property of ETP. Clients are granted limited rights only as needed to operate and maintain the provided systems or services.
9. Confidentiality
​
Both parties agree to maintain strict confidentiality of all non-public business, technical, or financial information exchanged. Without prior written consent:

Confidential materials may not be copied, disclosed, or disseminated,
-
ETP’s name, logos, or work shall not be used in public releases or media content.
10. Support & Maintenance
​
ETP strives to provide high-quality support. Where applicable, support and maintenance coverage, including response times and update provisions, will be defined in a separate agreement or specified in the purchase contract.

11. Regulatory Compliance
​
ETP is fully committed to operating in accordance with all applicable local and international laws and standards, including:

Export and import control laws,

Environmental protection regulations,
-
Occupational health and safety rules,
-
Personal data and privacy legislation (e.g., PIPEDA, GDPR).
Clients are responsible for ensuring they comply with all relevant laws related to their usage of ETP products and services.

12. Governing Law & Jurisdiction
​
These Terms and any related contracts shall be governed by the laws of the Province of British Columbia, Canada. Disputes shall be exclusively submitted to the provincial or federal courts located in British Columbia, and the parties hereby irrevocably consent to such jurisdiction.
